Intellectual Property
The Website and its original content, features, and functionality are owned by the Company and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Use License
a. Permission is granted to temporarily access and use the Website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license, you may not:
i. modify or copy the materials; ii. use the materials for any commercial purpose or for any public display (commercial or non-commercial); iii. attempt to decompile or reverse engineer any software contained on the Website; iv. remove any copyright or other proprietary notations from the materials; or v. transfer the materials to another person or “mirror” the materials on any other server.
b. This license shall automatically terminate if you violate any of these restrictions and may be terminated by the Company at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

User Content
a. The Website may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material (“User Content”). You are solely responsible for the User Content you post on the Website.
b. By posting User Content on the Website, you grant the Company a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in any media.

Limitations of Liability
In no event shall the Company or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on the Website, even if the Company or an authorized representative has been notified orally or in writing of the possibility of such damage.

Indemnification
You agree to indemnify and hold the Company, its affiliates, officers, directors, employees, and agents harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Agreement or your violation of any law or the rights of a third party.

Termination
The Company may terminate your access to the Website, without cause or notice, which may result in the forfeiture and destruction of all information associated with your account. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the province of Nova Scotia, without regard to its conflict of law provisions.

Changes to Terms and Conditions
The Company reserves the right, at its sole discretion, to modify or replace these Terms and Conditions at any time. It is your responsibility to review these Terms and Conditions periodically. By continuing to use the Website after any modifications, you accept and agree to be bound by the revised Terms and Conditions.

Entire Agreement
